JAFZA Company Setup Guide 2026: Real Costs, Process and Licences

JAFZA company setup 2026 - aerial view of Jebel Ali Port and free zone, Dubai

Jebel Ali Free Zone is the oldest and largest free zone in the UAE, and also the most misunderstood. Founders hear “JAFZA” and picture container terminals and Fortune 500 warehouses, then assume it is out of reach for a smaller company. Some of that reputation is earned — JAFZA is built around Jebel Ali Port and prices facilities accordingly — but the entry points are broader than most people expect, and several cost figures circulating online are years out of date. Here is what a JAFZA company setup actually involves in 2026: entity types, licences, real cost ranges, visa quota maths, and when another zone is the better answer.

What JAFZA Is and Who It Actually Suits

JAFZA (Jebel Ali Free Zone Authority) is Dubai’s port-adjacent free zone, offering 100% foreign ownership, customs duty deferral on goods held inside the zone, and direct access to Jebel Ali Port and Al Maktoum International Airport. It suits businesses that physically move goods — traders, distributors, manufacturers, and logistics operators — far more than consultants or digital service companies.

That distinction drives your cost base. A JAFZA company setup is priced around facilities — warehouses, plots, showrooms, offices — and the licence fee is often the smallest line on your invoice. A container discharged at Jebel Ali Port reaches a JAFZA warehouse within hours without formally entering UAE customs territory, with duty deferred until the goods leave the zone.

If you are a two-person consultancy that will never touch physical stock, you are paying for infrastructure you will not use — a reason to read our overview of UAE free zones across the emirates first.

JAFZA’s credibility is a genuine, if less quantifiable, asset. The zone hosts more than 100 Fortune 500 companies alongside thousands of SMEs, and with banks, shipping lines, and multinational procurement teams a JAFZA licence carries weight newer zones have not accumulated.

JAFZA Offers Five Company Structures

Choosing the wrong entity type is the most common early mistake, and expensive to unwind. JAFZA recognises five structures in its company formation guidance.

Free Zone Establishment (FZE). A limited liability company with a single shareholder, individual or corporate. The standard route for a solo founder, or a parent company setting up a wholly owned subsidiary.

Free Zone Company (FZCO). Identical to an FZE, but with two to fifty shareholders. If you have a co-founder or expect investors, start here rather than converting later.

Branch of an existing company. A legal extension of its parent rather than a separate entity, carrying the same name and activities. No share capital is allocated, because the parent’s balance sheet stands behind it — a clean option for an established company adding a Dubai trading arm.

Public Listed Company (PLC). Permits a public share offering and stock exchange listing, minimum two shareholders.

Offshore company. Registered through JAFZA but not licensed to trade inside the UAE. Used for holding structures, international trade, intellectual property, and property ownership, with no upper limit on shareholders. Critically, it carries no UAE residence visa entitlement.

Four Licence Types Cover Every JAFZA Activity

JAFZA issues four licence categories, and your permitted activities flow from the one you select.

A trading licence permits import, export, storage, and distribution of the specific goods named on it. A general trading licence covers a much wider range of unrelated product categories under one licence — useful for diversified traders, and priced accordingly. Our guide to the general trading licence in the UAE covers the trade-offs.

A service licence covers consultancy, professional, and support services from within the zone. An industrial licence authorises manufacturing, processing, assembly, and packaging, and requires an industrial facility. A logistics licence covers freight forwarding, warehousing, and third-party logistics — the category defining much of JAFZA’s tenant base.

Activity selection is tiered: entry-level packages permit a set number of activities from a single activity group, while wider packages span two. Get this right at application stage — adding an activity from another group later usually means moving up a tier and paying the difference.

JAFZA No Longer Sets a Minimum Share Capital

Under current JAFZA policy there is no prescribed minimum share capital for an FZE or FZCO. The requirement is simply that capital must be adequate for the licensed activities.

This is worth stating plainly, because the old AED 1,000,000 FZE figure and the AED 100,000 figure that succeeded it are still quoted by agencies and directory sites in 2026. Neither reflects the authority’s current published position. Branches require no capital allocation at all.

“Adequate for the licensed activities” is a judgement call, not a formula — and banks apply their own view on top when you open an account, often higher than the free zone’s.

JAFZA Company Setup Costs in 2026

Treat every figure below as an indicative planning range, not a quotation. JAFZA prices by facility type, licence tier, and activity, and updates its schedule periodically.

Licence fees. Entry-level trading and service licences commonly start around AED 5,000 to AED 8,500 per year depending on activity groups. A general trading licence sits far higher, commonly quoted at AED 25,000 to AED 35,000 annually.

Registration and establishment card. One-off registration fees apply at incorporation. The establishment card — which lets you sponsor employees — is commonly quoted around AED 1,975 in year one, slightly less on renewal.

Facilities. This is where JAFZA budgets are won or lost. Workstations and co-working desks are the cheapest entry point. Executive suites are commonly quoted from AED 18,000 to AED 30,000 per year, business centre offices from roughly AED 30,000 to AED 50,000, shared warehousing from AED 25,000 to AED 45,000, and standard warehouse units from around AED 80,000 upward.

Visas. Budget an all-in AED 3,500 to AED 5,000 per person for an employment or investor visa, covering entry permit, medical, Emirates ID, and residency stamping. Urgent and VIP tiers cost more.

Together, a realistic first-year budget for a modest trading setup with a small office and two or three visas lands between AED 40,000 and AED 60,000. Add a warehouse and six figures becomes normal. To model this against other options, use our UAE business setup budget planner.

Your Facility Decides Your Visa Quota

JAFZA allocates residence visas by leased area rather than a flat quota per licence — roughly one visa per nine square metres. A workstation or flexi-desk package supports only a handful, while a private office or warehouse unit scales with the floor area you take.

Plan this before signing a lease. Founders routinely take the smallest facility to control year-one cost, then find they cannot sponsor the manager they need, and upgrading mid-term is rarely cheap. Our guide to hiring your first employee in a UAE free zone explains how quotas, permits, and costs interact.

The Registration Process Step by Step

JAFZA states that formation takes three to fourteen business days from document submission. That is achievable, but it measures the authority’s processing time — not your preparation, and not bank account opening.

Step one: fix the entity type and activities. Decide between FZE, FZCO, branch, or offshore, and map your activities to a licence category and activity group.

Step two: reserve the trade name and submit the application. Name reservation runs alongside the application. Names implying banking, insurance, or governmental affiliation face extra scrutiny.

Step three: prepare the document set. Passport copies for all shareholders and managers, a business plan, and — for corporate shareholders — attested constitutional documents, board resolutions, and a certificate of good standing. Attestation is the single biggest source of delay, and it happens in your home country before anything reaches JAFZA.

Step four: sign the facility lease. Your lease sets both your visa quota and most of your annual cost. It is a commercial decision, not an administrative formality.

Step five: collect the licence and establishment card, then process visas. Once the card is issued you can apply for entry permits, complete medicals, and obtain Emirates IDs and residency stamps.

Step six: open a corporate bank account. Allow four to twelve weeks. Banks apply heavy compliance scrutiny to new free zone entities, and a business plan naming actual suppliers and customers improves your odds. Our walkthrough on opening a UAE corporate bank account covers what they ask for.

Corporate Tax and VAT Work Differently in JAFZA

Federal corporate tax applies to JAFZA companies like any other UAE entity: 9% on taxable profits above AED 375,000. The free zone benefit is conditional, not automatic.

An entity meeting the Qualifying Free Zone Person conditions can access a 0% rate on qualifying income. Those conditions include adequate substance in the zone — real premises, real staff, real decision-making — and income from qualifying activities such as manufacturing, distribution of goods from or through a free zone, and logistics. A de minimis threshold allows non-qualifying revenue up to the lower of 5% of total revenue or AED 5 million; breach it and the 0% rate is lost outright, not reduced. We set the detail out in our guide to qualifying income for UAE free zone 0% tax.

On VAT, JAFZA holds Designated Zone status, so supplies of goods within the zone can fall outside the scope of UAE VAT in defined circumstances. This is goods-specific: services from a Designated Zone are generally taxed under normal rules, and sales into the mainland attract the standard 5% rate.

When JAFZA Is the Wrong Choice

An honest guide should say where a zone loses. If you are a consultant, developer, or agency with no physical goods, JAFZA’s facility-driven pricing gives you a higher cost base than zones built around service licences — with no offsetting benefit, because port adjacency and duty deferral are worth nothing to you. If you trade commodities, gold, or diamonds, specialist ecosystems elsewhere in Dubai may serve you better. And if your priority is the lowest first-year cost, several northern-emirates zones undercut JAFZA. It is worth taking time to compare UAE free zones side by side before committing.

JAFZA earns its premium when goods move through Jebel Ali Port, when bonded storage affects your working capital, or when the reputational weight of the address opens commercial doors. If none of those apply, choose a different zone.

Frequently Asked Questions

How much does a JAFZA company setup cost in 2026?

A realistic first-year budget for a modest trading company with a small office and two to three visas falls between AED 40,000 and AED 60,000. Entry-level licence fees commonly start around AED 5,000 to AED 8,500, a general trading licence is commonly quoted at AED 25,000 to AED 35,000 per year, and warehouse-based operations routinely exceed AED 100,000 in year one. All figures are indicative.

What is the minimum share capital for a JAFZA company?

JAFZA does not currently prescribe a minimum for an FZE or FZCO; capital must simply be adequate for the licensed activities. The AED 1,000,000 and AED 100,000 figures still widely quoted online reflect older policy. Branches require no separate capital allocation.

How long does JAFZA company formation take?

JAFZA states three to fourteen business days from document submission. That is the authority’s processing window only — attesting foreign corporate documents typically adds one to three weeks beforehand, and corporate bank account opening runs a further four to twelve weeks separately.

What is the difference between a JAFZA FZE and an FZCO?

An FZE has exactly one shareholder, individual or corporate; an FZCO has between two and fifty, who may be individuals, companies, or a combination. They are otherwise functionally identical. If you expect a co-founder or outside investors, register as an FZCO from the outset rather than converting later.

How many visas can I get with a JAFZA licence?

Quota is allocated by leased area rather than by licence, at roughly one visa per nine square metres. A workstation or flexi-desk package supports only a small number, while private offices and warehouse units scale with floor area. Decide your hiring plan before signing the lease.

Do JAFZA companies pay UAE corporate tax?

Yes — 9% on taxable profits above AED 375,000. An entity meeting the Qualifying Free Zone Person conditions, including adequate substance in the zone and income from qualifying activities such as manufacturing, distribution from or through a free zone, and logistics, can access a 0% rate on qualifying income. Non-qualifying revenue is capped at the lower of 5% of revenue or AED 5 million.

Can a JAFZA offshore company get UAE residence visas?

No. A JAFZA offshore company is a holding and international trading vehicle. It cannot trade within the UAE market and carries no visa eligibility. If residency is one of your objectives, you need an FZE, FZCO, or branch with a leased facility and an establishment card.

The Bottom Line

JAFZA is a specialist zone that happens to be famous, and that combination produces a great deal of poor advice. It is an outstanding choice for businesses moving physical goods through Jebel Ali Port or needing bonded storage, and an expensive one for service businesses that will never receive a shipment. The decisions that actually determine your cost are the entity type, the licence tier, and above all the facility you lease — because your facility sets both your annual rent and your visa quota.
